American Association of Bank Directors Names Charles J. Thayer as Chairman

The American Association of Bank Directors ("AABD") announced today that it
has named Charles J. Thayer to the position of Chairman of AABD and its Board of Advisors.
He previously served as a member of AABD's Board of Advisors.
Thayer is Chairman and Managing Director of Chartwell Capital Ltd., Fort Lauderdale,
Florida, a private investment firm that also provides specialized advisory services to the
board of directors and executive management of banks, corporations and institutional
investors.
He served as a director of Republic Bancorp, a $2.5 billion NASDAQ listed bank holding
company until Republic was acquired by BB&T Corp in 2004 and, following the
acquisition, he served on the board of BB&T Bank (Florida) until July 2006. He
has been a member of the board of the Louisville Community Development Bank in Kentucky
since 1996. Thayer also served for 12 years as an advisory board member of Keefe
Managers, a New York based bank stock investment company founded by Harry V. Keefe.
Thayer is a member of the Board of Trustees of the Cystic Fibrosis Foundation, serving
as its Vice Chairman. He previously served as a director of Cogen America, a NASDAQ
listed company, and Sunbeam Corporation, an NYSE listed company, where he also served as
Chairman and interim CEO. Thayer's board experience includes serving as chairman of
audit, compensation, investment, finance and planning committees of bank and non-banking
organizations.
From 1977-1986, Mr. Thayer was Executive Vice President and CFO of Citizens Fidelity
Corporation, Louisville, Kentucky, and from 1987-1989, was Executive Vice President of PNC
Financial Corporation.

Founded in 1989, the non-profit American Association of Bank Directors is the only
trade group in the United States solely devoted to bank directors and their information,
education, and advocacy needs. The Institute for Bank Director Education was established
in 1993 as the educational arm of AABD. Its purpose is to act as a clearinghouse for
education programs designed for bank and savings institution directors that support the
nationally recognized Director Education Certification Program.
